Referral Program Terms of Use

Eligibility

Only one offer per household, defined as individuals living at the same residential address. Referral rewards are limited to new customers who have never previously created an account or placed an order with Good Eggs.

Qualified Referral

A referral is considered valid only when the referred customer:

1. Uses the referral link or code at sign-up or checkout.
2. Creates a new account using unique personal information.
3. Places and completes a qualifying purchase that is successfully delivered and not returned, refunded, or canceled.

Referral rewards will be issued only after the referred customer's qualifying order has been completed and verified.

Reward Timing

Referral rewards may be held in a pending status for up to thirty (30) days following the referred customer's first qualifying purchase to allow for order verification, returns, refunds, and fraud review.

Program Limits

Good Eggs reserves the right to limit the number of referrals or rewards a user may earn within a given time period or overall program participation.

Prohibited Activities

The following activities are strictly prohibited and may result in suspension or termination of accounts and forfeiture of rewards:

• Self-referrals or referring yourself through multiple accounts or identities
• Creating multiple accounts, email addresses, or identities to obtain referral rewards
• Referring individuals who reside at the same household address
• Using automated scripts, bots, or other technical manipulation
• Posting referral codes on coupon sites, deal forums, or paid advertising channels
• Bulk messaging, spam, or unsolicited communications
• Selling, transferring, or publicly distributing referral codes for commercial purposes
• Using stolen payment methods or fraudulent transactions
• Any activity deemed abusive, misleading, or inconsistent with the spirit of the program

Fraud Detection and Monitoring

Good Eggs reserves the right to review all referral activity, including but not limited to IP address matching, device fingerprinting, transaction velocity, payment method overlap, and account behavior patterns. Accounts flagged for suspicious activity may be suspended while under review.

Reward Adjustments and Chargebacks

Good Eggs reserves the right to revoke or adjust referral rewards if:

• A qualifying order is canceled, refunded, or returned
• Duplicate, erroneous, or fraudulent referrals are detected
• A referred account is determined to be ineligible or non-bona fide

Account Actions

Good Eggs may suspend or terminate any account participating in the Referral Program at any time if activity is suspected to be abusive, fraudulent, or in violation of these terms. Any rewards associated with such activity may be forfeited.

Offer Restrictions

Rewards and incentives do not apply to alcohol products and cannot be redeemed for cash value. Referral credits may not be transferred, sold, or exchanged.

Program Changes

Good Eggs reserves the right to modify, suspend, or terminate the Referral Program or any associated offers at any time without prior notice.

General Terms

All offers expire thirty (30) days after issuance unless otherwise specified. All special offers are subject to additional terms, conditions, and restrictions presented on the Good Eggs website or services.

Current Sweepstakes & Contests

From time to time, Good Eggs may run sweepstakes or contests. The official rules for the current sweepstakes are provided below.

Good Eggs Grocery Summer Sweepstakes

Win $2,500 in Local Groceries

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

Participation in this Sweepstakes constitutes your full and unconditional agreement to these Official Rules, including the class action waiver below. Void where prohibited. Subject to all applicable federal, state, and local laws.

Sponsor

The Good Eggs Summer Grocery Sweepstakes ("Sweepstakes") is sponsored by Good Eggs, LLC ("Sponsor"), located at 2000 Maritime, Ste 200, Oakland, CA 94607.

Promotion Period

The Sweepstakes begins at 12:00:01 a.m. Pacific Time on July 1, 2026 and ends at 11:59:59 p.m. Pacific Time on July 15, 2026 ("Promotion Period"). Sponsor's computer is the official timekeeping device.

Eligibility

Open only to legal residents of California, age 18 or older, who reside within Good Eggs' active delivery area during the Promotion Period.

Employees, officers, directors, contractors, and agents of Good Eggs, LLC, its affiliates, advertising or promotion agencies, and any other parties involved in the administration of the Sweepstakes, as well as their immediate family members and individuals living in the same household, are not eligible to enter or win.

Sponsor reserves the right to verify eligibility, including residence within Good Eggs' active delivery area.

How to Enter

There are two (2) ways to enter.

Method One: Qualifying Good Eggs Order

During the Promotion Period, place a Qualifying Order through your Good Eggs account. Upon successful placement of a Qualifying Order, you will automatically receive one (1) entry into the Sweepstakes.

A "Qualifying Order" means an online Good Eggs order placed during the Promotion Period for delivery within Good Eggs' active delivery area, excluding cancelled, refunded, fraudulent, or otherwise ineligible orders as determined by Sponsor in its sole discretion.

Method Two: Free Entry

No purchase is necessary. During the Promotion Period, complete and submit the official entry form available through Good Eggs promotional emails, social media, or the Sweepstakes landing page. Upon successful submission, you will receive one (1) entry into the Sweepstakes.

Limit one (1) entry per person per day, regardless of entry method. Both methods of entry carry equal odds of winning. A purchase will not increase your chances of winning.

Automated entries, bots, bulk entries, entries submitted by third parties, or fraudulent entries are prohibited and may be disqualified.

Prize

One (1) winner will receive $2,500 in Good Eggs grocery credit.

Approximate Retail Value (ARV): $2,500 USD.

The prize is non-transferable, has no cash value, and may not be redeemed for cash. Grocery credit will be applied directly to the winner's Good Eggs account and is subject to Good Eggs' Terms of Use.

Winner is solely responsible for all applicable federal, state, and local taxes. Because the prize value of $2,500 exceeds the federal Form 1099-MISC reporting threshold for prizes awarded after December 31, 2025, Sponsor will issue an IRS Form 1099-MISC to the winner and report the prize value to the IRS. Winner must provide a completed IRS Form W-9 before the prize will be awarded. Failure to provide a valid W-9 within the required timeframe will result in forfeiture of the prize.

Sponsor reserves the right to substitute a prize of equal or greater value if the stated prize becomes unavailable for any reason.

Winner Selection

One (1) winner will be selected in a random drawing on or about July 20, 2026 from all eligible entries received.

Odds of winning depend on the total number of eligible entries received.

Winner Notification

The potential winner will be notified via the email address provided at entry and must respond within five (5) days of notification. The potential winner must also complete and return a signed Affidavit of Eligibility, Liability Release, and (where lawful) Publicity Release, along with a completed IRS Form W-9, within fourteen (14) days of notification. Sponsor is not responsible for undeliverable emails or spam filtering. Failure to respond, return completed documents, or satisfy eligibility requirements within the stated timeframes will result in forfeiture and an alternate winner may be selected at Sponsor's discretion.

Publicity

Except where prohibited by law, acceptance of the prize constitutes permission for Sponsor to use the winner's name, city, likeness, and statements regarding the Sweepstakes for advertising, marketing, and promotional purposes without additional compensation.

General Conditions

Sponsor reserves the right to modify, suspend, or terminate the Sweepstakes if fraud, technical failures, or other circumstances compromise the integrity of the promotion. Sponsor's decisions are final.

Limitation of Liability

Sponsor is not responsible for:

• lost, late, incomplete, corrupted, or misdirected entries;
• technical failures;
• internet interruptions;
• unauthorized human intervention;
• printing or typographical errors;
• computer or network failures.

By entering, each entrant releases and holds harmless Sponsor and its respective officers, directors, employees, affiliates, agents, and representatives from any and all claims, damages, or liability arising from participation in the Sweepstakes or acceptance, possession, or use of any prize. Sponsor is not responsible for any printing, typographical, mechanical, or other errors in any materials related to the Sweepstakes. Sponsor reserves the right to modify, suspend, or terminate the Sweepstakes at any time if fraud, technical failures, or other circumstances beyond Sponsor's control compromise the integrity or administration of the Sweepstakes, subject to any required regulatory approval.

Privacy

Personal information collected in connection with this Sweepstakes is used to administer the Sweepstakes and, where separately consented to, for marketing communications. Such information is subject to the Good Eggs Privacy Policy at https://www.goodeggs.com/privacy. California residents have rights under the California Consumer Privacy Act, including the right to know what personal information is collected, the right to request deletion, and the right to opt out of sale, as described in the Privacy Policy. Good Eggs does not sell personal information to third parties. Entrants may separately opt in to receive marketing emails from Good Eggs.

Governing Law

This Sweepstakes is governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising in connection with this Sweepstakes shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and each entrant consents to personal jurisdiction in those courts.

Social Media

This Sweepstakes is not sponsored, endorsed, administered by, or associated with Instagram, Facebook, TikTok, X, Google, or any other social media platform.

Dispute Resolution; Class Action Waiver

To the fullest extent permitted by applicable law, any dispute, claim, or cause of action arising out of or relating to this Sweepstakes, these Official Rules, or any prize awarded shall be resolved individually, without resort to any form of class action, collective action, consolidated action, or representative proceeding.

By participating in the Sweepstakes, each entrant agrees that they may bring claims against Sponsor only in their individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.

Nothing in these Official Rules is intended to waive any right or remedy that cannot be waived under applicable law, including any right to seek public injunctive relief where such waiver is prohibited by law.

Changes to Terms

Good Eggs reserves the right, in its sole discretion, to change the Terms under which goodeggs.com is offered. The most current version of the Terms will supersede all previous versions. Good Eggs encourages you to periodically review the Terms to stay informed of our updates.

The Blue Heron 5K Good Eggs Sweepstakes ("Sweepstakes") is sponsored by Good Eggs Grocery ("Sponsor").

Promotion Period

The Sweepstakes begin on June 29, 2026 and ends on July 31, 2026 at 11:59:59 PM Pacific Time ("Promotion Period").

Eligibility

Open only to legal residents of California who are 18 years of age or older at the time of entry and reside within Good Eggs' active delivery area.

Employees, officers, directors, and agents of Good Eggs Grocery and their immediate family members or members of the same household are not eligible.

Void where prohibited.

How to Enter

During the Promotion Period, eligible participants may enter by completing the official Blue Heron 5K Sweepstakes entry form available through Good Eggs promotional emails, digital advertisements, or the Sweepstakes landing page.

No purchase is necessary to enter or win.

Limit one (1) entry per person during the Promotion Period.

Prize

One (1) winner will receive:

$200 in Good Eggs Grocery credit

Approximate Retail Value ("ARV"): $200 USD.

The prize:

• is non-transferable;
• may not be redeemed for cash;
• will be applied to the winner's Good Eggs account;
• is subject to Good Eggs' Terms of Use.

Winner Selection

One (1) winner will be selected in a random drawing from all eligible entries received during the Promotion Period.

The drawing will take place on or about August 5, 2026.

Odds of winning depend on the total number of eligible entries received.

Winner Notification

The winner will be notified via the email address provided at entry.

If the selected winner cannot be contacted, does not respond within five (5) days, is found to be ineligible, or declines the prize, Sponsor reserves the right to select an alternate winner.

Publicity

Except where prohibited by law, acceptance of the prize constitutes permission for Sponsor to use the winner's name, city of residence, likeness, and statements for promotional purposes without additional compensation.

General Conditions

Sponsor reserves the right to cancel, suspend, or modify the Sweepstakes if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper administration of the Sweepstakes.

Sponsor reserves the right to disqualify any individual who tampers with the entry process or violates these Official Rules.

Release of Liability

By participating, entrants agree to release and hold harmless Good Eggs Grocery and its affiliates, officers, directors, employees, and agents from any liability arising out of participation in the Sweepstakes or acceptance, possession, or use of the prize.

Privacy

Information collected in connection with this Sweepstakes will be used in accordance with the Good Eggs Grocery Privacy Policy.

Winner List

To request the name of the winner, email [email protected] within sixty (60) days following the conclusion of the Promotion Period.

This Sweepstakes is governed by the laws of the State of California.
